Limited liability companies (LLCs) are required by Section 301(e) of the Limited Liability Company Law to file a Biennial Statement every two years with the New York Department of State. The Office of the Westchester County Clerk has been informed that LLCs have recently been receiving notices from a private company offering to file its Biennial Statement at a cost of $100. Don’t be persuaded by official-looking mailers. LLCs can file their own Biennial Statement with the New York State Secretary of State for a nominal filing fee of $9. The Statement may be mailed to the Secretary of State or filed online. The Office of the County Clerk will be closing at 4:00pm on this Thursday, November 21, 2024.
The County Department of Information Technology will be working with the State to make required upgrades to the main County Servers. From 4pm Thursday, until about midnight, all County Clerk applications will be unavailable.
